Terms & Conditions

These Terms and Conditions set out the basis on which Brassford provides consulting services and on which visitors access this website. Please read them carefully before engaging our services or making use of this site. By proceeding with an engagement or using this website, you are indicating that you have read and understood these terms.

1. Who we are

Brassford is a business consulting practice operating from 27 Naebkehardt Road, Hua Hin, Prachuap Khiri Khan 77110, Thailand. We may be contacted by telephone at +66 32 615 4287 or by email at [email protected]. References in these terms to "Brassford", "we", "us", or "our" are references to this practice.

Brassford provides non-regulated operational consulting services only. We do not provide legal advice, financial advice, tax advice, medical advice, or any service requiring a professional licence or regulatory authorisation. Nothing in our work or on this website should be read as professional advice in any of those areas.

2. Scope of services

Our services consist of facilitation, documentation support, and structured working engagements. At the time of publication, these include three defined service types:

The precise scope of any engagement is agreed in writing between Brassford and the client prior to commencement. Where there is any conflict between a service description on this website and the written scope agreed for a particular engagement, the written scope takes precedence.

Brassford reserves the right to modify, add to, or discontinue services at any time. Changes to service offerings will be reflected on this website and will not affect engagements already in progress under a written agreement.

3. Engagement agreement

Each consulting engagement commences upon both parties signing or otherwise confirming a written engagement letter or scope of work document (the "Engagement Agreement"). These Terms and Conditions are incorporated into and form part of any Engagement Agreement entered into with Brassford, unless expressly varied in writing.

Commencement and duration

Engagements begin on the date specified in the Engagement Agreement and run for the duration set out in that agreement. Duration refers to calendar time from commencement, unless otherwise specified.

Changes to scope

Any changes to the agreed scope of work, timeline, or deliverables must be agreed in writing by both parties. We will not perform work materially outside the agreed scope without a written variation.

Client responsibilities

Clients are expected to make available the information, access, and personnel reasonably required to support the work as described in the Engagement Agreement. Where delays arise from a client's inability to provide agreed access or input, Brassford reserves the right to adjust timelines accordingly, and will discuss any such adjustment with the client promptly.

4. Fees and payment

Fees for each engagement are set out in the Engagement Agreement. Fees on this website are indicative and quoted in Thai Baht (฿). Final fees may vary from published indicative amounts where the agreed scope differs from the standard service description.

Payment terms

Unless otherwise agreed in writing, the following payment terms apply:

Payment is due within fourteen days of invoice. We accept payment by bank transfer to the account details provided on the relevant invoice.

Late payment

Where payment is not received within the agreed period, Brassford reserves the right to pause work on the relevant engagement until payment is received, and to charge interest on overdue amounts at a rate consistent with applicable Thai law. We will notify the client promptly if this circumstance arises.

Taxes

Fees quoted are exclusive of any applicable taxes, including VAT or withholding tax, unless otherwise stated. Clients are responsible for any withholding tax obligations applicable under Thai law and should notify Brassford of any withholding to be applied prior to payment.

5. Deliverables and ownership

At the conclusion of an engagement, Brassford will produce and deliver the written outputs agreed in the Engagement Agreement (the "Deliverables"). The Deliverables are documents produced for the client's operational use, and are intended to be owned and used by the client.

Intellectual property

Upon receipt of payment in full, all intellectual property rights in the Deliverables transfer to the client. Brassford retains no ongoing rights in the specific content of Deliverables, other than the right to retain an anonymised internal copy for record-keeping purposes.

Brassford retains ownership of any working materials, templates, methodologies, or background documentation used in the course of an engagement, to the extent that these are not incorporated into the Deliverables themselves.

Accuracy and completeness

Deliverables are produced on the basis of information and records made available during the engagement. Brassford takes care in preparing documents, but cannot warrant that Deliverables are complete or fully accurate where the source information provided was incomplete or inaccurate. We will highlight any significant gaps or limitations noted in the course of the work.

6. Confidentiality

In the course of an engagement, Brassford may receive access to confidential information about the client's business, operations, personnel, and relationships. We treat all such information with discretion and do not share it with third parties, except as required by law or with the client's express written consent.

Clients are similarly expected to treat as confidential any working methods, templates, or proprietary materials shared by Brassford in the course of an engagement.

Confidentiality obligations survive the end of any engagement and continue for a period of three years from the date of completion, unless a different period is specified in the Engagement Agreement or required by law.

7. Cancellation and termination

Cancellation by the client

A client may cancel an engagement by providing written notice to Brassford. The following terms apply to cancellations:

Brassford may cancel an engagement before commencement by providing written notice to the client, in which case any deposit paid will be refunded in full. After commencement, Brassford will only terminate an engagement early in exceptional circumstances (such as serious breach of these terms by the client), and will document the reasons and discuss them with the client.

Mutual termination

Both parties may agree in writing to bring an engagement to a close early on mutually agreed terms. Any such agreement will set out the deliverables to be produced up to the point of closure and the fees applicable.

8. Limitation of liability

Brassford provides facilitation and documentation services. We do not provide professional advice in any regulated area, and our Deliverables are operational working documents, not professional recommendations. Clients remain responsible for decisions taken on the basis of or in connection with our work.

To the extent permitted by applicable law, Brassford's total liability to any client in respect of any engagement — whether in contract, tort, or otherwise — is limited to the total fees paid by the client in connection with that engagement.

Brassford is not liable for any indirect, consequential, or incidental loss arising from an engagement or from the use of this website, including loss of profits, loss of business, or loss of data. This limitation does not apply in cases of fraud or wilful misconduct.

Nothing in these terms is intended to exclude or limit any rights that cannot lawfully be excluded or limited under Thai law.

9. Website use

This website is provided for informational purposes. The content on this website describes the nature of our services and gives general context for prospective clients. Nothing on this website constitutes a binding offer, and no engagement arises from the use of this website alone.

Accuracy of website content

We take care to keep the content of this website accurate and up to date, but we do not warrant that it is complete, current, or free from error. Service descriptions, prices, and other details on this website may be updated from time to time. The current version of this website represents the current position, and supersedes any earlier version.

Links to other websites

This website may contain links to external sites. Brassford is not responsible for the content or practices of those sites and does not endorse them by linking to them. Visitors follow external links at their own discretion.

10. Governing law and jurisdiction

These Terms and Conditions, and any Engagement Agreement incorporating them, are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising in connection with these terms or with a consulting engagement will be subject to the jurisdiction of the Thai courts, unless both parties agree in writing to an alternative dispute resolution process.

If any provision of these Terms and Conditions is found to be unenforceable under applicable law, that provision will be read down to the minimum extent necessary to make it enforceable, or severed if necessary, and the remaining provisions will continue in full force and effect.

11. Changes to these terms

Brassford may update these Terms and Conditions from time to time. When we do, the updated version will be published on this page with a revised Last Updated date. Changes will not affect Engagement Agreements already entered into — those will continue to be governed by the version of the terms in force at the time the agreement was entered into, unless both parties agree to the contrary in writing.

Continued use of this website following publication of revised terms constitutes acceptance of the revised terms for the purposes of website use.
